JDC Affiliate Program — Terms

1. Introduction and Acceptance

These Affiliate Program Terms (the “Terms”) govern the participation of any person or entity (the “Affiliate Partner”, “you”, or “your”) in the affiliate marketing program (the “Program”) operated by Jewellery Design Center (“JDC”), a service of Universal Jewels and Diamonds, Surat, Gujarat, India. By submitting an application to the Program, by accepting any approval, by using any affiliate link issued by JDC, or by accepting any commission issued in connection with the Program, you irrevocably acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety, together with JDC's general Terms of Service and Privacy Policy, each of which is incorporated herein by reference.

Your continued participation following any modification to these Terms constitutes your acceptance of such modification. JDC reserves the right, in its sole discretion, to amend, suspend, or discontinue the Program, in whole or in part, at any time and without prior notice, including the eligibility criteria, commission rates, referee perks, attribution windows, payout mechanics, qualifying conditions, and fraud rules described below.

2. Application and Approval

A prospective Affiliate Partner must hold an active and verified JDC account at the time of application and submit a completed application through /user/affiliate/apply. JDC reviews applications on the basis of factors including audience size, audience-platform fit (with emphasis on jewellery, fashion, and business-to-business retail), engagement metrics, reputation, and consistency with JDC's brand. The decision to approve, conditionally approve, or decline rests with JDC in its sole discretion.

Approval is not automatic and shall not be presumed under any circumstance. Where an application is approved, JDC will contact the applicant to confirm the negotiated commercial terms set out in Section 3. JDC reserves the right to revoke any approval at any time, with or without cause and with or without notice; in such event the affiliate relationship terminates forthwith without liability arising on the part of JDC, save in respect of commissions duly accrued and ripe for payout as at the date of revocation.

3. Negotiated Commercial Terms

The commercial terms governing each Affiliate Partner's participation — including the commission percentage (within a range of ten percent (10%) to fifty percent (50%) of qualifying revenue), the referee perk (a percentage discount on the referee's first subscription payment or a number of complimentary months), the attribution window (fourteen (14), thirty (30), or sixty (60) days from the most recent qualifying click), the payout method, the payout currency, and the minimum payout threshold — are individually negotiated between JDC and the Affiliate Partner and recorded in JDC's administrative systems. The terms so recorded shall, absent manifest error, be the operative terms of the affiliate relationship.

JDC may update the operative commercial terms upon thirty (30) days' prior written notice, deemed validly given upon dispatch to the email address on the Affiliate Partner's account. Commissions accrued at rates in force immediately prior to the effective date of any modification remain honoured at those rates. No Affiliate Partner shall disclose the negotiated commercial terms to any third party, and breach of this obligation shall be grounds for immediate termination and forfeiture of unpaid commissions.

4. Affiliate Link

Upon approval, JDC issues a unique vanity URL of the form https://jewellerydesigncenter.com/i/<your-handle> directing visitors to a JDC-branded landing page bearing the Affiliate Partner's name, optional photograph, and the negotiated referee perk. All rights in and to the vanity URL, the underlying tracking identifier, and the landing page remain the exclusive property of JDC. The affiliate link is personal to the Affiliate Partner, non-transferable, and may not be assigned, licensed, embedded into automated distribution systems, or otherwise repurposed in any manner inconsistent with the design or operation of the Program.

5. Tracking and Attribution

Each click on an affiliate link is tracked by cookies placed on the visitor's device, with a maximum lifetime of sixty (60) days, evaluated at the moment of signup or conversion against the attribution window negotiated under Section 3. Where a visitor signs up and completes a first paid subscription transaction within the applicable window, the conversion is credited to the Affiliate Partner whose link generated the most recent qualifying click.

The Program operates on a strict last-click attribution basis: where a visitor clicks multiple affiliate or referral links prior to signup, only the most recently placed cookie results in attribution; all prior cookies are overwritten and of no further effect. Commission is payable once only on the referee's first paid subscription; renewals, upgrades, add-ons, or other subsequent purchases do not generate additional commission, regardless of the duration or value of the referee's continued relationship with JDC. JDC accepts no responsibility for loss of attribution arising from circumstances outside its direct technical control.

6. Commission Calculation

Commission payable in respect of each qualifying conversion is calculated as the product of (a) the amount actually paid by the referee, less any discount applied under the Program and less any applicable taxes that JDC is required by law to deduct, and (b) the commission percentage negotiated under Section 3. Commissions are computed and, save where JDC has agreed otherwise in writing, paid in the currency of the underlying referee transaction (Indian Rupees or United States Dollars), without conversion by JDC. JDC accepts no responsibility for any loss arising from currency exchange undertaken by the Affiliate Partner subsequent to receipt of any payout.

7. Payout Eligibility and Mechanics

A conversion becomes eligible for inclusion in a payout batch only upon the expiry of thirty (30) days from the date of the referee's first paid transaction. This holding period absorbs refunds, chargebacks, and payment reversals; any conversion refunded, charged back, or otherwise adjusted during the holding period is automatically excluded from payout batches without further notice. Where aggregate commission falls below the negotiated minimum payout threshold for a given batch, it is carried forward until the threshold is met.

JDC compiles payout batches on or around the fifth (5th) day of each calendar month, covering eligible conversions from the immediately preceding month. Payouts are issued through PayPal, Wise, domestic Indian bank transfer, or international bank transfer, subject to the Affiliate Partner's elected method and JDC's approval. Any transaction fees, intermediary charges, or currency-conversion costs levied by the chosen method are borne by the Affiliate Partner and deducted from the gross commission payable.

Payouts are conditional upon completion of all applicable know-your-customer (“KYC”) procedures: PAN documentation in respect of Indian-resident Affiliate Partners and equivalent tax-residence documentation in respect of non-residents. JDC does not provide an in-application document upload mechanism; KYC documentation is requested by email and must be returned within five (5) business days. Failure to provide complete KYC by the requested deadline entitles JDC to withhold the relevant payout without liability until such documentation is provided.

8. Taxation

Each Affiliate Partner is solely responsible for any and all taxes, withholdings, duties, and similar obligations arising from the receipt, accrual, or use of any commission. For Indian-resident Affiliate Partners, JDC shall deduct tax at source (“TDS”) under the applicable provisions of the Income-tax Act, 1961, and issue a TDS certificate. GST obligations remain entirely the responsibility of the Affiliate Partner based on their registration status.

For non-resident Affiliate Partners, JDC ordinarily pays gross commission without deduction of Indian tax at source but reserves the right to require IRS Form W-8BEN or equivalent tax-residence documentation prior to processing any international payout. JDC shall not be liable for any delay arising from non-production of such documentation. All tax obligations in the Affiliate Partner's home jurisdiction remain the responsibility of the Affiliate Partner.

9. Conduct and Promotional Content

Each Affiliate Partner shall clearly and conspicuously disclose the affiliate relationship in all promotional activity, consistent with the disclosure requirements of the United States Federal Trade Commission, the Advertising Standards Council of India, and any other regulator having jurisdiction. Disclosure shall be made by means of unambiguous language including “#ad”, “sponsored”, or “affiliate link”, placed in a manner that is not concealed or rendered ineffective by formatting choices.

Each Affiliate Partner undertakes that it shall not: misrepresent JDC's products, pricing, features, or subscription tiers; bid on JDC's branded keywords or trademarks in any paid-search campaign without JDC's prior written consent; employ spam, bot traffic, click-farms, paid-click services, or other artificial means of generating impressions, clicks, or signups; promote JDC on any property containing illegal, hateful, defamatory, discriminatory, sexually explicit, or otherwise objectionable content; engage in self-referral or coordinate signups between accounts under common control; or otherwise act in any manner that may, in JDC's judgment, bring JDC, its brand, or the Program into disrepute. The foregoing list is illustrative and not exhaustive.

10. Fraud, Reversal, and Disqualification

JDC reserves the unfettered right, exercisable in its sole discretion at any time and without prior notice, to investigate, audit, withhold, suspend, reverse, or revoke any commission, and to disqualify any Affiliate Partner, where JDC reasonably suspects conduct that may include but is not limited to: same-device, same-IP, same-network, same-payment-instrument, same-mobile-number, same-email-domain, or same-fingerprint signups originating from accounts under common control; bulk-signup patterns suggestive of automation; refunds, chargebacks, or other downward adjustments by the referee; violations of any obligation set out in Section 9; or any other conduct JDC reasonably determines to be fraudulent, deceptive, or manipulative.

The exercise of any of the foregoing rights, including the forfeiture or reversal of accrued or paid commissions, shall not give rise to any liability on the part of JDC. JDC may pause, suspend, or terminate any Affiliate Partner's participation at any time and for any reason. Commissions duly accrued and eligible for payout as at the effective date of any termination shall, subject to the other conditions of payment set out herein, remain payable in the next scheduled batch; unaccrued or ineligible commissions shall be cancelled in full without compensation.

11. Termination

Either JDC or the Affiliate Partner may terminate the affiliate relationship upon thirty (30) days' prior written notice to the other party. JDC may, in addition, terminate with immediate effect and without notice upon any material breach of these Terms by the Affiliate Partner or upon the occurrence of any event described in Section 10. Upon termination, the affiliate vanity URL is disabled with immediate effect, future signups arising from that URL or from cookies placed prior to termination generate no commission, and commissions duly accrued and ripe for payout as at the effective date of termination are paid in the next scheduled batch.

12. Confidentiality

The Affiliate Partner acknowledges that the negotiated commercial terms (including commission percentage, referee perk, attribution window, and minimum payout threshold), all financial information disclosed by JDC in connection with the Program, and all non-public information regarding JDC's business, customers, or operations are confidential to JDC. The Affiliate Partner shall not, except as expressly permitted by JDC in writing, disclose such information to any third party, including other Affiliate Partners. Breach of this obligation is grounds for immediate termination and forfeiture of unpaid commissions.

13. Disclaimers

The Program is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, accuracy, reliability, fitness for a particular purpose, or non-infringement. JDC makes no representation as to the volume of conversions or commissions that any Affiliate Partner may earn, and does not warrant that the Program, its tracking systems, or its payout pipeline shall operate without interruption, error, delay, or omission.

14. Limitation of Liability

To the maximum extent permitted by law, JDC's aggregate liability arising out of or relating to the Program, these Terms, or any participation in the Program, whether in contract, tort (including negligence), or otherwise, shall be limited to the aggregate amount of unpaid commission duly accrued and eligible for payout to the claiming Affiliate Partner as at the date the underlying claim first arose. In no event shall JDC, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, whether or not advised of the possibility of such damages.

15. Indemnification

Each Affiliate Partner agrees to indemnify, defend, and hold harmless JDC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of: such Affiliate Partner's breach of these Terms; the content, manner, or placement of any promotional material published by such Affiliate Partner; any representation made by such Affiliate Partner regarding JDC, its products, or the Program; any infringement of any third party's intellectual property, privacy, publicity, or other rights; or any other conduct of such Affiliate Partner in connection with the Program. JDC reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification, at the Affiliate Partner's expense.

16. Independent Contractor Relationship

Nothing in these Terms creates an employer–employee relationship, agency, partnership, joint venture, franchise, or distribution arrangement between JDC and the Affiliate Partner. The Affiliate Partner is, and shall remain, an independent contractor, solely responsible for the manner and means of its performance. Neither party shall have authority to bind, commit, or act on behalf of the other.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. The courts located in Surat, Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Program, and the Affiliate Partner irrevocably submits to such jurisdiction and waives any objection on the grounds of inconvenient forum.

18. Miscellaneous

These Terms, together with JDC's Terms of Service and Privacy Policy and any commercial terms recorded under Section 3, constitute the entire agreement between the Affiliate Partner and JDC with respect to the subject matter hereof and supersede all prior understandings and agreements. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect. JDC's failure to enforce any right shall not constitute a waiver. The English-language version of these Terms prevails over any translation. JDC may assign, transfer, or delegate any of its rights or obligations under these Terms without restriction; the Affiliate Partner may not do so without JDC's prior written consent.
