JDC Referral Program — Terms

These Referral Program Terms (the “Terms”) govern your participation in the referral program (the “Program”) operated by Jewellery Design Center (“JDC”, “we”, “us”, or “our”), a service of Universal Jewels and Diamonds, Surat, Gujarat, India. By generating, sharing, or using a JDC referral link, or by accepting any reward issued under the Program, you irrevocably acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety, together with JDC's general Terms of Service and Privacy Policy, each of which is incorporated herein by reference.

Your continued participation following any modification to these Terms or to the operational parameters of the Program constitutes your acceptance of such modification. JDC reserves the right, in its sole discretion, to amend, suspend, or discontinue the Program, in whole or in part, at any time and without prior notice, including the rates, caps, eligibility criteria, attribution windows, and reward structures described below. No such modification shall give rise to any cause of action or right of recovery on the part of any participant.

Participation is restricted to holders of an active JDC account in good standing. Good standing is determined by JDC in its sole discretion, taking into account factors including billing history, compliance with JDC's Terms of Service, and the absence of conduct inconsistent with the integrity of the platform or the spirit of the Program.

Accounts that are suspended, restricted, locked, terminated, or under investigation are not eligible to participate, accrue rewards, or redeem any rewards previously accrued, regardless of when accrual occurred. JDC may, at any time and without obligation to provide a reason, disqualify any account from continued participation, and such disqualification shall be final and binding.

Each eligible user is automatically assigned a unique alphanumeric referral code, retrievable together with the corresponding referral URL from /user/referrals. The referral code and URL remain the exclusive property of JDC, are personal to the user to whom they are issued, and are non-transferable. They may not be assigned, licensed, embedded into automated distribution systems, or otherwise repurposed in any manner that would, in JDC's reasonable judgment, undermine the design or operation of the Program.

The use of any referral link other than the link issued to a participant's own account, the generation of multiple accounts for purposes of self-referral, or any conduct intended to circumvent any cap or eligibility requirement described herein constitutes a material breach of these Terms and may result, at JDC's sole discretion, in immediate disqualification, forfeiture of accrued rewards, reversal of rewards already redeemed, and termination of the underlying JDC account.

The structure of rewards is determined by JDC and administered through its internal systems. As at the date of these Terms, the operative structure is set out below. JDC may, in its sole discretion, increase, reduce, or restructure these amounts, caps, and qualifying conditions at any time, and any such modification takes effect immediately upon implementation unless JDC specifies otherwise.

Where a participant is on the FREE subscription tier and a third party signs up through such participant's referral link and completes email verification, each of the participant and the referred user receives twenty (20) zip-download credits, subject to a lifetime cap on the referrer's side of five (5) successful referrals (a maximum of one hundred (100) credits accrued through the Program), beyond which the referrer ceases to accrue further credits while referred users continue to receive their signup credits.

Where a participant is on a paid subscription tier and a third party signs up through such participant's link and becomes a paying subscriber within fourteen (14) days of signup, the participant receives a one (1) month extension of their existing subscription term together with twenty (20) zip-download credits, and the referred user receives a twenty percent (20%) discount on their first subscription payment together with twenty (20) zip-download credits. Rewards already credited shall not, save where JDC specifically so determines, be diminished by any subsequent change to the reward structure.

Attribution of any signup or conversion to a specific referral link is determined exclusively by JDC's tracking systems, and such determinations are final and binding on all participants in the absence of manifest error. A referral cookie is placed on the visitor's device on each qualifying click and remains valid for thirty (30) days from the most recent click. Where a visitor clicks multiple referral or affiliate links prior to signup, only the most recently placed cookie results in attribution; all prior cookies are overwritten and of no further effect.

JDC accepts no responsibility for loss of attribution arising from circumstances outside its direct technical control, including device or browser changes, private browsing modes, cookie blockers, ad-blockers, network intermediaries, security software, or visitor action that clears or modifies cookies.

JDC reserves the unfettered right, exercisable in its sole discretion at any time and without prior notice, to investigate, audit, withhold, suspend, reverse, or revoke any reward, and to disqualify any participant, where JDC reasonably suspects conduct that may include but is not limited to: signups originating from the same device, IP address, network, payment instrument, mobile number, email domain, or device fingerprint as the referrer or as accounts under common control; the use of disposable, temporary, or programmatically generated email addresses; coordinated account creation; self-referral, whether direct or indirect; the use of bots, scripts, click-farms, automation tooling, paid-click services, or any other artificial means of generating signups; or any conduct JDC reasonably considers an attempt to manipulate the Program, the rewards system, the attribution mechanism, or JDC's pricing.

The exercise of any of the foregoing rights shall not give rise to any liability on the part of JDC to any participant or third party, and each participant expressly waives any claim that might otherwise arise. The enumeration above is illustrative and not exhaustive; the absence of a specific pattern shall not be construed as limiting JDC's rights or creating any safe harbour with respect to such conduct.

Zip-download credits accrued under the Program are non-monetary, do not constitute currency or any cash equivalent, and shall be consumed prior to any plan-tier download allowance to which the recipient may be entitled. Subscription extensions are applied to the recipient's current term automatically upon issuance and are not transferable, divisible, deferrable, or convertible into any other form of credit. All rewards are personal to the recipient and may not be assigned, sold, exchanged, or otherwise dealt with except where expressly permitted by JDC in writing.

Rewards have no cash value, are not redeemable for cash, and are not refundable under any circumstances. The Program does not constitute a money-savings device, investment scheme, lottery, contest, or prize promotion and shall not be construed as such. To the maximum extent permitted by law, no participant has any right to claim or recover the monetary equivalent of any reward, whether accrued, issued, suspended, withheld, reversed, or forfeited.

Each participant is solely responsible for any and all taxes, withholdings, duties, levies, and similar obligations arising from the receipt, accrual, or use of any reward. JDC makes no representation as to the tax treatment of any reward and shall not be liable for the tax consequences of any participation in the Program. Where JDC is required by law to withhold any amount, it shall be entitled to do so without further consultation.

JDC reserves the right, in its sole discretion, to modify, suspend, or terminate the Program in whole or in part, at any time, with or without notice, and for any reason. Without limitation, JDC may alter reward amounts, caps, eligibility criteria, attribution windows, qualifying conditions, or fraud rules, and such alteration takes effect immediately upon implementation unless JDC specifies otherwise.

JDC may terminate any individual participant's participation at any time, with or without cause and with or without notice. Upon termination, all rewards accrued but not redeemed shall, at JDC's option, be cancelled in full without compensation, and the participant shall have no claim or right of recovery.

The Program is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, accuracy, reliability, fitness for a particular purpose, or non-infringement. JDC does not warrant that the Program, its tracking systems, or its attribution mechanisms shall operate without interruption, error, or omission, and shall not be liable for any failure of attribution or other technical event resulting in non-accrual of any reward.

To the maximum extent permitted by law, JDC's aggregate liability arising out of or relating to the Program, these Terms, or any participation in the Program, whether in contract, tort (including negligence), or otherwise, shall be limited to the value of the zip-download credits standing unredeemed to the credit of the claiming participant as at the date the underlying claim first arose, calculated on the basis of the Program's standard accrual rates on that date. In no event shall JDC, its affiliates, or their respective officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, or data, whether or not advised of the possibility of such damages.

Each participant agrees to indemnify, defend, and hold harmless JDC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of such participant's breach of these Terms, promotion or referencing of JDC, or any other conduct in connection with the Program. JDC reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification, at the participant's expense.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. The courts located in Surat, Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Program, and each participant irrevocably submits to such jurisdiction and waives any objection on the grounds of inconvenient forum.

These Terms, together with JDC's Terms of Service and Privacy Policy, constitute the entire agreement between each participant and JDC with respect to the subject matter hereof and supersede all prior understandings and agreements. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force and effect. JDC's failure to enforce any right shall not constitute a waiver. The English-language version of these Terms prevails over any translation.
